Terms and conditions
These terms apply to Vingrad Managed Apps — managed applications you order on vingrad.ch or by email. Projects and consulting are covered by separate agreements. This is a translation; the German version is authoritative.
1. Provider and scope
The provider is Vingrad GmbH, Bachstrasse 11, 8280 Kreuzlingen, UID CHE-334.348.307, email vv@vingrad.com, phone +41 76 531 32 64 (“we”).
These terms apply to businesses and to consumers. A consumer is anyone ordering for purposes that are predominantly outside their trade, business or profession. Where a rule applies to only one of the two groups, this is stated.
We offer Managed Apps to customers resident or established in Switzerland, Liechtenstein and the EU.
Customer terms that differ from these apply only if we agree to them in writing. The German version of these terms is authoritative.
2. Conclusion of the contract
The catalogue and prices on vingrad.ch are not yet a binding offer. In the cart you choose applications and billing interval, state whether you order as a business or as a private individual, and reach the payment page of our payment provider Stripe with “Continue to payment”. There you see the order, price and term again and can check and correct everything. By clicking the “Subscribe” button on that page you place a binding order with an obligation to pay.
The contract is concluded as soon as Stripe notifies us of the successful payment. You immediately receive an order confirmation by email with the order details, these terms, the withdrawal notice and the model withdrawal form; businesses also receive the data processing agreement. For orders by email, the contract is concluded with our written order confirmation.
The contract languages are German and English. You can view, save and print these terms on this page at any time.
3. Services
For each application ordered we run a dedicated instance. Standard operation includes:
- setting up the instance, connecting your domain and the TLS certificate;
- updates of the application, security updates and maintenance of the underlying infrastructure;
- availability monitoring with alerting;
- regular backups;
- Resources per instance: 100 GB storage (files and database), 2 vCPU, 4 GB memory, 1 TB traffic per month and daily backups kept for 14 days (“standard resources”). The number of user accounts is not limited. Larger packages are listed on the pricing page at a fixed monthly price; you can add or remove them at any time for the next billing month.
Custom configuration, integration with other systems, consulting, training, large data migrations and debugging your own code are not included in the monthly price. We offer these separately.
Setup starts once we have the information we need from you (desired address, first users, existing data); the instance is ready no later than ten working days after that. For consumers, we start before the withdrawal period ends only if they expressly request it (section 9).
Your instance runs on servers in Switzerland.
Statutory warranty rights apply.
4. Availability and maintenance
We keep the instances running with the care of an experienced operator and fix faults originating from our platform as quickly as possible. A specific availability percentage is guaranteed only if separately agreed.
We announce planned maintenance in advance and schedule it outside usual business hours where possible. Urgent security updates are applied without notice.
5. Customer obligations
- You use the applications only within the law and are responsible for the content you and your users store in them.
- You keep access credentials secret and inform us immediately of any suspected misuse.
- You use your instance within the agreed resources (section 3). When an instance approaches a limit — for storage at 80 % — we inform you by email and propose an add-on from the pricing page. No extra costs arise without your consent; the instance then stays on the standard resources and, where the application technically allows it, accepts no new data above the storage limit. Existing data is kept. We restrict compute and traffic above the limits only where other instances would otherwise be affected, and tell you so. If an instance stays above the limits for more than 30 days without an agreed add-on, we may terminate the contract for that application with ordinary notice (section 7).
- In case of serious violations — such as unlawful content or attacks on third parties — and in case of payment default after an unsuccessful reminder announcing suspension, we may temporarily suspend an instance. Where the situation allows, we first give you the opportunity to remedy it. We inform you immediately, limit the suspension to what is necessary and lift it as soon as the reason no longer applies.
6. Prices and payment
The prices at the time of ordering apply, in Swiss francs. For consumers, the prices shown are final prices including the VAT of their country. For businesses they are exclusive of any applicable VAT; for businesses with a valid EU VAT identification number the reverse-charge procedure applies.
Payment is made in advance for the chosen billing period (month or year) through Stripe. The first billing period begins when the instance is made available; the time between payment and availability extends it accordingly. You receive the invoice and receipt by email.
We may adjust prices if our costs for infrastructure, energy, licences or staff change, at most to the extent of that change; if costs fall, we lower prices accordingly. We announce changes at least 30 days in advance by email. They apply at the earliest from the next billing period after that notice, for annual billing only from the next renewal. You may cancel with effect from the date the change takes effect.
7. Term and cancellation
- Monthly billing: the contract runs for an indefinite period and either party may cancel it with effect from the end of the current billing month.
- Annual billing: the initial term is twelve months. Before it ends, we remind you by email of the renewal and how to cancel. Unless cancelled by the end of the term, the contract renews for a further twelve months for businesses. For consumers, it then continues for an indefinite period, is billed monthly and can be cancelled at any time with one month's notice.
- You can cancel informally by email to vv@vingrad.com or with the “Cancel contracts here” button on vingrad.ch. Cancellations through the button are confirmed immediately and automatically by email, cancellations by email within one working day.
- We cancel with at least one month's notice; for annual billing we then refund the unused part of the prepayment. For good cause — such as payment default despite a reminder, or serious misuse — either party may terminate without notice.
8. Data at the end of the contract
At the end of the contract you receive a complete export of your data in a common format, free of charge. We delete the instance 30 days after the contract ends; until then you can request the export again at any time. Backups then expire on their usual schedule.
9. Right of withdrawal for consumers (Austria: right of rescission)
Consumers have the following right of withdrawal. We grant it contractually to all consumers, even where the law of their country of residence — Switzerland, for example — provides no such right.
Withdrawal notice
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded.
To exercise the right of withdrawal, you must inform us (Vingrad GmbH, Bachstrasse 11, 8280 Kreuzlingen, Switzerland, email vv@vingrad.com, phone +41 76 531 32 64) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal: if you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.
If you expressly request at the time of ordering that we start before the withdrawal period ends, we set up the instance right away. Otherwise we start after the fourteen days.
Model withdrawal form (complete and return this form only if you wish to withdraw from the contract):
To Vingrad GmbH, Bachstrasse 11, 8280 Kreuzlingen, Switzerland, email vv@vingrad.com:

Ordered on (*)/received on (*)
Name of consumer(s)
Address of consumer(s)
Signature of consumer(s) (only if this form is notified on paper)

(*) Delete as appropriate.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, where we have given a guarantee, and for fraudulently concealed defects.
For slight negligence we are liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfilment makes proper performance of the contract possible in the first place and on whose observance you may regularly rely.
Towards businesses, liability for slight negligence is additionally limited to the fees for the affected application in the last twelve months; in that case we are not liable for lost profit or indirect damage.
Mandatory statutory liability, in particular under product liability law, remains unaffected.
For business-critical data we recommend keeping your own copies in addition to our backups; on request we set up regular exports to you.
11. Data protection and data processing
How we process your data as a customer is described in the privacy policy at vingrad.ch/en/datenschutz/.
We process data you store in your instances only on your behalf and according to your instructions. Our data processing agreement (DPA) at vingrad.ch/en/avv/ applies to this and forms part of the contract for businesses.
12. Third-party software
The applications come from their respective makers and are subject to their licences, mostly open source. The makers are responsible for the features and development of the application itself; we make sure the chosen version runs properly and stays up to date. Costs for commercial licences are added only by agreement.
13. Changes to these terms
We change these terms only for an objective reason — such as changes in law or case law, new services, or to close gaps — and only insofar as the balance between service and price is not shifted to your disadvantage. We notify changes by email at least 30 days before they take effect and explain what applies if you do not respond. Until then you may cancel with effect from that date.
14. Governing law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers keep the protection of the mandatory provisions of the country of their habitual residence.
The place of jurisdiction for businesses is Kreuzlingen. Consumers may sue us at their place of residence or in Kreuzlingen; we sue consumers only at their place of residence.
We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
Should any provision be invalid, the remaining provisions remain valid.
